A change of manager of a SARL or SARL-S costs EUR 500 excl. VAT at Financial Services Luxembourg: appointment or removal minutes, integrity check, RCS publication and alignment of the business licence included. Register disbursements extra, at cost.

The trap most files ignore: if the departing manager was the holder of the business licence, their exit strips the company of its right to operate. The new effective manager must be qualified and declared to the Ministry of the Economy, failing which the company runs without a valid licence. Appointment, removal, resignation: same procedure?

The vehicle is the same, the shareholders' meeting, but the precautions differ: a removal is reasoned and notified, a resignation is recorded and published, an appointment triggers an integrity check.
