Close a SARL-S in Luxembourg: accounts, cost and required filings.

Closing a Luxembourg SARL-S requires more than stopping invoices. Annual accounts, direct-tax and VAT returns, CCSS registrations, employment and liabilities must be assessed. A sole-shareholder dissolution without liquidation may be considered in appropriate cases, while a company with several shareholders may require ordinary voluntary liquidation. Financial Services Luxembourg assists with accounting, tax and coordination of the closure file.

In short

Closing a Luxembourg SARL-S involves the accounting, tax, employment and corporate formalities needed to terminate a simplified private limited company. The appropriate procedure depends on shareholders, remaining assets and liabilities and current obligations; stopping trade alone does not remove the company from the RCS.

Legal basis

Amended 10 August 1915 Companies Law; Civil Code article 1865bis for qualifying sole-shareholder dissolution without liquidation; business licence, CCSS and VAT cessation steps published by Guichet.lu.

Key takeaway

  • Dormancy does not by itself end filing obligations.
  • Sole-shareholder dissolution involves the transfer of both assets and liabilities, subject to statutory conditions and creditor safeguards.
  • An earlier employee can leave payroll withholding-tax (RTS) or CCSS obligations to resolve.
  • Costs depend on overdue filings, debts, third-party fees and the procedure chosen.

What should be checked before closing a SARL-S?

Start with the RCS number, last annual accounts, bank statements and the schedule of assets, receivables, liabilities and outstanding commitments. Shareholder structure and employee history determine which closing route can be explored.

Even without revenue, a SARL-S may still have a vehicle, lease, director's loan, tax exposure, disputed debt or an open bank account. These items need documentary verification before the dissolution deed.

Can a sole-shareholder SARL-S close in a single deed?

Article 1865bis of the Luxembourg Civil Code allows, under conditions, a dissolution without liquidation with universal transfer of the company's assets and liabilities to its sole shareholder. No liquidator is appointed to realise the assets; liabilities transfer too, including those discovered later.

The notary assesses the required administrative certificates and creditor protections. See our voluntary and simplified liquidation guide for the legal and tax mechanism; this page focuses on practical SARL-S closure preparation.

What happens if past annual accounts are missing?

Identify missing RCS accounts, tax returns, VAT filings and supporting invoices. Catch-up may require reconstructing entries from the company's bank statements, contracts and payroll records. Those services should be quoted separately from the closure package.

Liquidation does not automatically extinguish historical obligations. Missing filings and any penalties must be assessed. See annual accounts and accounting services.

How do VAT, CCSS and payroll withholding end?

Depending on the actual cessation, Guichet.lu describes a notification to the Economy Ministry within one month, CCSS deregistration within eight days, and notification of the cessation to the VAT administration within fifteen days. These clocks relate to the specific event and cannot simply be equated with the RCS strike-off date.

Where employees have left, confirm their final payslips, CCSS exits and payroll withholding tax (RTS). Missing months can remain outstanding long after the employment ends. See Luxembourg payroll services.

Should the company's bank account be closed first?

A positive balance is not necessarily distributable cash. Tax, creditors, contingent liabilities and expected costs must be reconciled. The same applies to shareholder loans, leasing and insurance.

The bank's closure process and signing authorities should be coordinated with the dissolution and the final payments. Closing too early may obstruct settlement; keeping an unused account open creates costs.

How much does a SARL-S closure cost?

For an eligible sole-shareholder SARL-S, our published entry point for simplified dissolution is EUR 3,000 excluding VAT, within the scope agreed in writing. Ordinary voluntary liquidation, overdue accounts, outstanding VAT/RTS filings, notarial costs and other third-party charges require an individual quote.

We separate closure fees, historic accounting catch-up and third-party costs. Review the pricing guide and the company liquidation decision guide.

FAQ

Frequently asked questions

Can I close a dormant SARL-S?

Yes, but dormancy alone is not a dissolution. Assets, liabilities, accounts, tax filings and shareholder structure must be assessed before selecting a lawful closure route.

Can a SARL-S be closed if it used to employ someone?

Yes, subject to reviewing employment-related liabilities, payroll withholding (RTS) and CCSS filings, and any remaining disputes or debts. Catch-up work may be necessary.

Does the bank account have to have a zero balance?

Not as a standalone criterion. Cash, taxes, liabilities and anticipated costs must be reconciled, and the account closure sequence depends on outstanding payments.

Does closing a SARL-S require a notary?

A qualifying sole-shareholder dissolution without liquidation is formalised through a notarial deed. The ability to incorporate a SARL-S by private deed does not imply all forms of dissolution can be completed without a notary.
