In short

This hub covers the full lifecycle of a Luxembourg company: choosing the legal form, business licence, incorporation before the notary, RCS and RBE registration, registered office, domiciliation, bank account opening, and liquidation when the time comes. One firm coordinates every step.

How to set up a company in Luxembourg?

Setting up a company in Luxembourg follows five steps: choose the legal form, obtain the business licence if the activity is commercial, incorporate the company (before a notary for a SARL or SA, by private deed for a SARL-S), register with the RCS and RBE, then open a business bank account. We coordinate every step with a single point of contact.

Timing depends on the form and on a complete file: a SARL-S is usually incorporated within about 5 business days after the business licence is granted, a SARL or SA within 4 to 8 weeks once the file is complete (documents, capital, notarial deed, RCS and RBE).

Which legal form to choose: SARL, SARL-S or SA?

The legal form depends on capital, the number of shareholders and the project's ambition. The SARL (capital 12,000 €) suits most SMEs, the SARL-S (capital from 1 €, reserved for individuals) allows a low-cost start, and the SA (capital 30,000 €) suits fundraising and board governance.

Is a business licence required?
Yes for a commercial, craft or liberal activity: the business licence is issued by the competent desk before registration. A pure holding company does not need one.
How long does it take to set up a company?
About 5 business days for a SARL-S after the business licence is granted; 4 to 8 weeks for a SARL or SA once the file is complete (ID documents, supporting evidence, deposited capital).
