Set up a SOPARFI in Luxembourg, definition, uses and set-up.
A SOPARFI is an ordinary, fully taxable Luxembourg company that holds participations and structures international investments. It is neither a separate legal form nor a standalone tax regime: it is usually incorporated as a SARL or an SA. Its tax treatment is detailed in [SOPARFI taxation](/en/soparfi-taxation-luxembourg), the exemption in [participation exemption](/en/participation-exemption-luxembourg). Financial Services Luxembourg SARL-S (permit 10077274) prepares and coordinates the incorporation file with the notary, then handles agreed accounting and compliance tasks without presuming tax residence or exemption eligibility.

A SOPARFI is an ordinary Luxembourg capital company, usually a SARL or SA, used to hold participations. It is not a separate legal form or tax regime: its income is generally taxable, while certain dividends and capital gains may qualify for exemption where the conditions of article 166 LIR are met.
Is every dividend received by a Luxembourg SOPARFI tax-free?
No. A SOPARFI is an ordinarily taxable Luxembourg company, often a SARL or SA, not a standalone tax-exempt entity. Qualifying participation dividends may be exempt under article 166 LIR, while other income and company expenses follow different rules. Eligibility has to be substantiated for each participation.
What to check
- Shareholding test : Check the subsidiary's qualifying status, ownership percentage or acquisition cost, and holding period.
- Separate income types : Do not treat dividends, intercompany interest, service fees and share disposal gains as identical.
- Evidence file : Maintain acquisition documents, finance records, board decisions and tax computations.
Expected deliverable: participation-by-participation exemption matrix and income tax treatment summary.
Article 166 LIR (participation exemption) and Grand-Ducal regulation of 21 December 2001; withholding tax exemption on outbound dividends (art. 147 LIR). Legal form governed by the amended law of 10 August 1915 on commercial companies.
Key takeaway
- The SOPARFI is fully taxable but exempts qualifying dividends and capital gains (art. 166 LIR).
- Economic substance has become decisive since ATAD: registered office, governance and real decisions in Luxembourg.
- The aggregate corporate rate in Luxembourg City has been 23.87% since the 2025 tax year, before exemptions.
- Since 2025, minimum net wealth tax depends on the balance sheet total alone (EUR 535, EUR 1,605 or EUR 4,815), and an exemption resting on acquisition price alone can be waived by election.

What are the parent-subsidiary conditions for a SOPARFI?
A SOPARFI exempts three flows when the participation reaches a capital or acquisition price threshold, is held for 12 months, and sits in a fully taxable subsidiary or one covered by the parent-subsidiary directive.
| SOPARFI flow | Participation threshold | Holding period | Effect |
|---|---|---|---|
| Dividends received | 10% or EUR 1,200,000 acquisition price | 12 months | Exempt (art. 166 L.I.R.) |
| Capital gains on disposal | 10% or EUR 6,000,000 acquisition price | 12 months | Exempt, save recapture of deducted expenses |
| Dividends paid out | 10% or EUR 1,200,000 held by the recipient | 12 months | 15% withholding cut to nil (art. 147 L.I.R.) |
Should a SOPARFI be set up as a SARL or an SA?
Either form can serve as a SOPARFI, under the same ordinary tax rules. The SARL suits a closed and stable shareholding; the SA is needed once shares must change hands freely or be offered to the public.
| Criterion | SARL | SA |
|---|---|---|
| Minimum share capital | EUR 12,000 | EUR 30,000, at least one quarter paid up |
| Number of shareholders | 1 to 100 | 1 minimum, no ceiling |
| Transfer to a third party | Approval by three quarters of the capital | Free, unless the articles restrict it |
| Management body | One or more managers | Board of directors or management board |
| Public offer of shares | Not allowed | Allowed |
What has changed for a SOPARFI since 2025?
Since the 2025 tax year, three SOPARFI parameters have changed: the tax rate, the minimum net wealth tax and the participation exemption.
- Corporate income tax cut to 16%, an aggregate 23.87% in Luxembourg City.
- Minimum NWT set by balance sheet alone: EUR 535, EUR 1,605 or EUR 4,815.
- The 90% financial assets test specific to holdings has been abolished.
- Opt-out available where the exemption rests on acquisition price alone.
- The opt-out is made participation by participation, year by year.
Does a SOPARFI make Luxembourg a tax haven?
No. A SOPARFI is fully taxable, at 23.87% in Luxembourg City. Only dividends and capital gains from qualifying participations are exempt, because they have already been taxed in the subsidiary: this is the parent-subsidiary directive mechanism shared by all Member States. Anti-abuse rules derived from ATAD deny arrangements lacking economic reality.
What is a SOPARFI?
The SOPARFI (financial holding company) is neither a legal form nor a special tax regime: it is an ordinary, fully taxable Luxembourg company, usually a SARL or SA, whose purpose is holding and financing participations. It may also carry on an ancillary commercial activity and invoice services.
Its key benefit: under conditions, dividends and capital gains on qualifying participations are exempt under the participation exemption (art. 166 LIR). Combined with Luxembourg's tax-treaty network and the parent-subsidiary directive, it is an efficient international holding vehicle.
What the 2025 reform changes for a SOPARFI
Pages that still describe a single minimum net wealth tax "for financial holding companies" describe the former regime. Since the 2025 tax year, the minimum depends on the balance sheet total alone: EUR 535, EUR 1,605 or EUR 4,815. The 90% financial assets test is gone: a SOPARFI with a balance sheet between EUR 350,000 and EUR 2,000,000 now pays EUR 1,605 instead of EUR 4,815. Details are in our article on minimum net wealth tax.
The second change is quieter: a SOPARFI can waive the exemption where it rests on the acquisition price threshold alone. The election is made participation by participation and year by year; its main use is to absorb loss carryforwards before they expire. The conditions are set out in our article on the participation exemption opt-out.
What has not changed is worth recalling: an exempt capital gain becomes taxable up to the expenses and write-downs already deducted on the participation. This is prepared year by year, as we explain in the recapture rule.
Exemption, tax and comparison: where to find the detail
The table above gives the regime at a glance. The article 166 LIR conditions, including eligible subsidiaries, the holding commitment and the anti-abuse clause, are detailed on our participation exemption page. Tax computation, withholding taxes and Pillar Two belong to the SOPARFI taxation page.
If the doubt is about the vehicle itself, our SOPARFI or SPF comparison decides by purpose: SOPARFI to structure investments and access treaties, SPF to manage passive private wealth.
economic substance (ATAD): why it is decisive
Since the ATAD directives, the authorities and banking partners expect real economic substance: effective registered office, decision-making bodies meeting in Luxembourg, a director with the powers and competence, and local accounting. A substance-less shell risks recharacterisation and denial of treaty benefits.
We calibrate substance (registered office, directorship, governance) to your risk profile and the nature of the participations.
Setting up and operating a SOPARFI
Incorporation by notarial deed, in the form chosen from the SARL or SA table above, then RCS and RBE registration: count one to two weeks, then two to four weeks for VAT if needed. Then comes operation: LuxGAAP accounting, tax returns, monitoring of participations and the exemption.
We handle the full chain, incorporation, substance, accounting, tax and compliance, with a single point of contact, from formation to consolidation.
Ownership architecture and flow scheme
Structuring ownership with a SOPARFI means deciding the number of tiers (top holding, sub-holdings per asset or per co-investor), the direction of flows (upstream dividends, downstream intra-group interest) and how each flow falls within article 166 LIR, article 147 LIR for withholding tax and the applicable treaties.
A multi-tier architecture isolates risks and prepares exits, but each tier adds accounts, a tax return and a substance requirement. We keep the number of entities to the strict minimum, document the flow scheme and check that each participation meets, at every tier, the thresholds in the parent-subsidiary table.
Tax scoping is coordinated with reporting duties (DAC6, transfer pricing) and with economic substance (ATAD): effective seat, competent director, decisions taken in Luxembourg, local bookkeeping.

Frequently asked questions
What is the difference between a SOPARFI and an SPF?
The SOPARFI is fully taxable, may carry on an ancillary commercial activity and invoice services, and benefits from tax treaties and the participation exemption. The SPF is a non-commercial private wealth vehicle, exempt from income tax but excluded from treaty benefits and limited to eligible investors.
What is the parent-subsidiary regime in Luxembourg?
It is the regime for parent companies and subsidiaries: a fully taxable Luxembourg company, such as a SOPARFI, is not taxed on dividends and capital gains from qualifying participations, already taxed in the subsidiary. It combines article 166 LIR, article 147 LIR for withholding tax and Directive 2011/96/EU.
Can the participation exemption be waived?
Yes, since the 2025 tax year, but only where the exemption rests on the acquisition price threshold alone. The election is made participation by participation and year by year; its main use is to absorb loss carryforwards before they expire.
Can a SOPARFI take the form of a SARL?
Yes. The SOPARFI is not a legal form but an ordinary company used to hold participations; it is most often incorporated as a SARL (minimum capital EUR 12,000) or an SA (EUR 30,000).
What substance is needed in Luxembourg?
Since the ATAD directives, the authorities expect real substance: effective registered office, decision-making bodies meeting in Luxembourg, a director with genuine powers and skills, and local accounting. We calibrate substance to your risk profile.
Is there withholding tax on dividends distributed by the SOPARFI?
A 15% withholding applies in principle, but an exemption is available (art. 147 LIR) where the recipient holds a qualifying participation for 12 months, subject to treaties and the parent-subsidiary directive.
What net wealth tax applies?
Net wealth tax (NWT) is 0.5% of the net unitary value. Since the 2025 tax year, the minimum depends on the balance sheet total alone: EUR 535 up to EUR 350,000, EUR 1,605 up to EUR 2,000,000, EUR 4,815 above. Qualifying participations are excluded from the taxable base under conditions.
How long does it take to incorporate a SOPARFI?
In practice, allow one to two weeks for the notarial incorporation and RCS registration, then a further two to four weeks for the VAT number if the activity requires it.
Are several holding tiers needed?
Sometimes, to ring-fence assets, organise co-investments or prepare an exit. Each tier adds accounts, a tax return and substance to demonstrate; we size the architecture to the strict minimum required by the objective and the risk.
