How much does a standard SARL cost?
A standard SARL in Luxembourg costs from EUR 1,500 excl. VAT in fees plus notary costs: incorporation is a notarial deed, with a minimum capital of EUR 12,000 fully paid up. All-in, notary included, the real cost sits between EUR 2,700 and 3,000, which is why the SARL-S at EUR 2,049 all-in remains the entry vehicle.
| Form | Fees | Notary | Minimum capital | Shareholders |
|---|---|---|---|---|
| SARL-S | EUR 2,049 all-in | None | EUR 1 | Natural persons only |
| SARL | from EUR 1,500 | Mandatory, about EUR 1,000 to 1,500 | EUR 12,000 | Natural or legal persons |
| SA | On quote | Mandatory | EUR 30,000 | Statutory auditor required |
Mickaël LOC's take
The single fee is a deliberate choice: validating a qualification, getting a foreign diploma recognised or documenting a non-resident director's good standing is our job, not your surcharge. A firm that bills those situations separately is selling you its own uncertainty. We would rather carry it.
What is the timeline of a company formation?
A company formation in Luxembourg takes two to six weeks, the timing being set by the business licence (processed by the Ministry of the Economy) rather than by the incorporation itself, which is done within 48 hours once the KYC file is complete.
| Step | Indicative timing | Who |
|---|---|---|
| Complete KYC file, quote and engagement letter signed | Day 0 | You, with our checklist |
| Drafting and signing of articles, RCS filing | Day 2 to 5 | Firm |
| Business licence application | Day 5 | Firm, via MyGuichet |
| Ministerial review | 2 to 4 weeks | Ministry of the Economy |
| VAT registration, CCSS affiliation, account opening | In parallel | Firm |
Frequently asked questions
Is the EUR 2,049 price really fixed?
Yes. EUR 2,049 excl. VAT is a fixed fee, identical for every client, whatever the complexity of the licence file. Only official disbursements (EUR 50 chancery, register fees) and the listed options, all announced upfront, are added.
Is a notary required to set up a SARL-S?
No. The SARL-S is incorporated by private deed, without a notary, which explains part of the cost gap with the standard SARL. The notary becomes mandatory again upon conversion into a SARL.
How much does the business licence alone cost?
The business licence alone costs EUR 650 to 1,250 excl. VAT depending on the activity: EUR 650 for a delivery rider, EUR 750 for a free-access activity, EUR 1,250 for a qualified trade, HORECA or a real-estate agent. Within the formation package it is included at EUR 1,250 for all situations.
Can a non-resident set up a company in Luxembourg?
Yes, provided the director holding the licence ensures effective and permanent management. A non-resident director does not change the package price; a certificate of non-bankruptcy from the country of residence may be required.
