Tax residence certificate in Luxembourg: how to apply
A Luxembourg tax residence certificate attests residence under domestic law, not entitlement to a treaty. That distinction is what drives refusals.
How do you obtain a tax residence certificate in Luxembourg?
A tax residence certificate in Luxembourg is obtained from the Administration des contributions directes: the application, sent to the competent companies tax office by post or through the contact form, states the name, the matricule, the registered office, the reason, the recipient authority, the date of incorporation and the language required. Issuance is free.
The document attests one thing only: that the company is a resident taxpayer under Luxembourg tax law. It does not settle whether a double tax treaty applies to it. Official terminology keeps the nuance visible, since the Guichet.lu portal titles its page "Certificate or confirmation of tax residence": the certificate is drawn up by the administration under domestic law, the confirmation is added to the form imposed by the foreign State.
We regularly see two mistakes on this point in files taken over. The first is to apply once the distribution has been voted and the foreign withholding already made, which turns a prior formality into a refund procedure. The second is to apply in French when the receiving authority works only in English: the language is chosen in the application and cannot be corrected afterwards without filing again.
Which office of the Luxembourg tax administration issues the certificate?
A Luxembourg company's tax residence certificate is issued by the competent companies tax office, approached by post or through the administration's contact form; competence follows the tax domicile, the income category or the business purpose of the taxpayer.
Since 18 November 2024 the administration has run a Contact center that changes how the application is filed. A single form, available in French, German and English and reachable from the home page of its site, allows you to request the tax residence certificate, the income certificate, the property certificate or account statements. Filing is possible at any time and a unique reference number follows the request throughout its processing.
The office to approach is not always the one a file believes it knows: the "Certificates" page of the A to Z index sends collective investment undertakings to the Bureau d'imposition Sociétés 8, where the 2017 circular still online named the Bureau Sociétés VI. Documents issued are then sent to the registered office, not to the agent, which assumes that a company under domiciliation has its provider collecting and forwarding the mail.
What must an application for a tax residence certificate contain?
An application for a tax residence certificate in Luxembourg must contain the applicant's name, its matricule, its address or registered office, the reason for the request, the recipient authority, the date of incorporation of the company and the language of the document.
The reason is not a courtesy field. The administration asks which type of income the certificate is sought for — dividends, interest, royalties, opening an account, a tender — because the wording of the document and, where relevant, the prior checks depend on it. An application that merely asks for "a residence certificate" with no reason and no recipient comes back with a question instead of a document.
The language is chosen between French, German and English, French applying absent an express request. For collective investment undertakings, a CSSF attestation confirming SICAV or SICAF status and the supervision exercised must accompany the application. The administration finally reserves the right to ask for additional documents and to check, before issuing, that the applicant has paid its tax and duty debts in full.
| Item | What the administration expects | Why it is asked for |
|---|---|---|
| Identity | Name or corporate name of the applicant | To attach the request to the taxpayer |
| Matricule | The company's tax identification number | To identify the file and the competent office |
| Address | Registered office, which is also the delivery address | The document is sent to the seat, not to the agent |
| Reason | Type of income or procedure concerned | Governs the wording and the prior checks |
| Recipient | Authority or body the certificate is intended for | The certificate is drawn up for an identified use |
| Date of incorporation | Date of the constitutive deed | To situate the start of the residence attested |
| Language | French, German or English | French applies absent a request |
| Item specific to funds | CSSF attestation (SICAV or SICAF status and supervision) | Admissibility condition for a collective investment undertaking |
On what criterion is a company's tax residence recognised in Luxembourg?
A company is a resident taxpayer in Luxembourg where its registered office or its central administration is on the territory of the Grand Duchy: article 159 of the income tax law lays down two alternative criteria, and meeting either one is enough.
A resident taxpayer is taxable on the whole of its income, Luxembourg and foreign alike, foreign income being capable of exemption under a treaty where it is realised through a permanent establishment. The certificate is therefore no administrative favour: it records the effect of a connection the company already has, through its articles or through the real place of its management.
The reverse deserves saying just as plainly. Central administration is a question of fact, and another State may invoke it to claim the residence of a company whose registered office is in Luxembourg but whose decisions are taken elsewhere. A Luxembourg certificate does not neutralise that claim: what settles the matter is the documentation of real governance, meetings held and decisions taken in Luxembourg, as for any SOPARFI holding foreign participations.
When does the administration refuse a tax residence certificate?
The administration refuses or defers a tax residence certificate in three situations: where the applicant has not paid its tax and duty debts in full, where doubt remains over resident status, and where the nature of the entity rules out issuance in principle.
The case of doubt should be understood for what it is: the certificate may be refused and the resident or non-resident status will then be determined when the first income tax return is filed. A company incorporated during the year that has filed nothing yet is therefore sent back to its first return, that is, to the very timetable the application was trying to anticipate.
Exclusion by nature is the clearest case: no certificate for a partnership, whose transparency attaches the income to the partners, and none for a common contractual fund, which is tax transparent. The 2017 circular on collective investment undertakings did accept that a common contractual fund could claim the benefit of a treaty without a certificate, proof that the document and treaty entitlement are two separate questions.
| Type of entity | Residence certificate | Point to watch |
|---|---|---|
| Resident capital company | Issued by the competent companies tax office | Tax debts checked before issuance |
| Partnership | Not issued | Transparency attaches the income to the partners |
| Common contractual fund | Not issued (tax transparent entity) | Treaty benefit remained possible without a certificate under the 2017 version of the circular |
| SICAV or SICAF | Issued on application to the Bureau d'imposition Sociétés 8 | CSSF attestation required |
| Family wealth management company | Issued on the basis of domestic law | Circular L.I.R. no. 159/2 of 4 June 2024; treaty position to be checked State by State |
| Company whose status is doubtful | May be refused | Status settled when the first return is filed |
What particular rules apply to funds and to the SPF?
Two dedicated circulars frame the tax residence certificate in Luxembourg: circular L.G.-A no. 61 of 24 December 2024 for collective investment undertakings, and circular L.I.R. no. 159/2 of 4 June 2024 for certificates issued to SPFs on the basis of domestic law.
On the funds side, the chronology matters: the circular of 24 December 2024, announced in the newsletter of 27 December 2024, replaces the one of 8 December 2017, which had itself replaced the one of 12 February 2015.
Two operational points can be read in the published practice: the application goes to the Bureau d'imposition Sociétés 8 with the CSSF attestation, and the certificate is drawn up in the name of the entity as a whole or, on request, in the name of the entity "and all its compartments", never compartment by compartment. The circular also sorts treaty partners into three groups, according to whether their treaty applies expressly to collective investment undertakings, does not apply to them, or no clear position has been settled.
On the SPF side, the existence of a dedicated circular says the essential. A certificate may be issued to a family wealth management company on the basis of domestic law, but the vehicle is excluded from the benefit of the parent-subsidiary directive and, for the Spain-Luxembourg treaty, the administration recorded its exclusion in an interpretative decision of 21 July 2015. Holding a certificate and enjoying a treaty are therefore two different things.
What is the certificate for when facing a foreign withholding tax?
The certificate serves to have the source State recognise that the recipient is indeed a resident of Luxembourg, a condition most treaties set in order to cap withholding on dividends, interest and royalties, or to obtain its repayment.
The document travels in one direction: from Luxembourg to the foreign administration or payer, which makes it the condition of a reduced rate. The procedure, the forms and the deadlines are those of the source State and not those of Luxembourg: a valid certificate does not prevent a refund claim filed too late abroad from being time-barred, so it is the paying country's deadline that must be watched.
The reverse movement lights up the mechanics. Where a Luxembourg company distributes to a shareholder resident in a treaty State, the debtor may apply in writing to the competent tax office, on form 901bis, for a reduced rate before or together with the withholding tax return on income from capital; if the withholding was made at the normal rate of 15%, the recipient may claim repayment by 31 December of the year following the year in which the tax was paid over, unless the treaty provides a more favourable deadline. The mechanism is symmetrical for a Luxembourg holding company collecting foreign dividends.
Sources and verification

The sources consulted are as follows. From the Administration des contributions directes: its frequently asked questions for companies, for the filing of the application with the competent companies tax office by post or through the contact form, the content required, the drawing up of the certificate in French absent any contrary indication, the sending of documents to the registered office, the right to ask for additional documents, the verification that tax and duty debts have been paid in full, the possible refusal in case of doubt with the status determined when the first return is filed, and the absence of a certificate for a partnership;
its "Certificates" page in the A to Z index, for the referral of collective investment undertakings to the Bureau d'imposition Sociétés 8 with a CSSF attestation; its "Resident / non-resident" page, for the two alternative criteria of registered office and central administration and the taxation of a resident on the whole of its income;
its "Collective investment undertakings" page in the international affairs section, for the certificate drawn up in the name of the entity or of the entity and all its compartments rather than compartment by compartment, and for the exclusion of the SPF from the Spain-Luxembourg treaty recorded in interpretative decision no. 52 of 21 July 2015;
its newsletters of 10 June 2024 and 27 December 2024 and its 2024 legislation list, for circular L.I.R. no. 159/2 of 4 June 2024 and for circular L.G.-A no. 61 of 24 December 2024 replacing the one of 8 December 2017, itself substituted for the one of 12 February 2015; circular L.G.-A no. 61 in its versions of 12 February 2015 and 8 December 2017, for the alternative character of the article 159 criteria, the sorting of treaty partners into three groups and the absence of a certificate for a common contractual fund;
its "Reduced rate on dividends" page and its A to Z page on claims for reduction or repayment of Luxembourg withholding tax on dividends, for form 901bis filed before or with form 900, the 15% rate on the gross amount and the 31 December deadline of the year following the year the tax was paid over; its page on the family wealth management company, for the exclusion from the benefit of the parent-subsidiary directive.
From the Guichet.lu portal: the page "Certificate or confirmation of tax residence", for the free issuance and the rule that only the tax assessment service of the State of residence can establish the document; its news item of 21 November 2024, for the opening of the Contact center on 18 November 2024, the single form in three languages, permanent filing and the unique reference number.
Three points could not be verified against an official source at this date. First, the full text of the two decisive circulars: the files of circular L.I.R. no. 159/2 of 4 June 2024 and of circular L.G.-A no. 61 of 24 December 2024 are unreachable from this environment, so only their official titles, the newsletters announcing them and the administrative pages restating their practice were read. Second, the processing time for an application, which none of the pages consulted quantifies.
Third, whether a residence certificate is among the documents required in support of form 901bis: the list published for that claim does not mention one, the requirement coming, where applicable, from the treaty concerned. These points can be checked against the circular collection and the international affairs section of impotsdirects.public.lu, and with the administration's Contact center.
This article states the law as it stands at the date of publication and is not personalised legal or tax advice: the characterisation of residence, entitlement to a treaty, the documents to attach and the timetable to meet depend on the form of the company, on the real place of its management, on the source State concerned and on the applicable treaty. Texts, circulars, forms and deadlines change, and any decision committing your structure should be verified as at the date you rely on it.
